1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you") and Sonnet Infotech ("Company", "we", "us") governing your use of the AM Invoice platform available at aminvoice.com and app.aminvoice.com (the "Service").

By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. Description of Service

AM Invoice is a cloud-based accounting platform that enables businesses to:

• Create, manage, and send invoices to clients
• Track business expenses and income
• Manage bank accounts and ledger transactions
• Generate financial reports including Profit & Loss statements
• Manage multiple companies from a single account

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Eligibility

• You must be at least 18 years of age to use the Service
• You must be legally capable of entering into binding contracts under Indian law
• If you are registering on behalf of a business, you represent that you have the authority to bind that business to these Terms
• The Service is intended for use within India and by users compliant with Indian laws

4. Account Registration

To access the Service, you must create an account using Google, Facebook, or Phone OTP authentication. You agree to:

• Provide accurate and complete information during registration
• Keep your login credentials secure and confidential
• Notify us immediately at info@aminvoice.com if you suspect unauthorised access to your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or are suspected of fraudulent activity.

5. Subscription and Payment

5.1 Plans

AM Invoice is offered on a subscription basis. Available plans, pricing, and features are listed on our website and may be updated from time to time.

5.2 Billing

• Subscription fees are billed in Indian Rupees (INR) unless otherwise stated
• All applicable taxes (including GST) will be added to the subscription fee
• Subscriptions auto-renew at the end of each billing cycle unless cancelled
• Payment is processed through our authorised payment gateway partner

5.3 Refund Policy

Subscription fees are non-refundable except where required by applicable law or at our sole discretion. If you believe you have been charged in error, contact us within 7 days at info@aminvoice.com.

5.4 Non-Payment

Failure to pay subscription fees may result in suspension of access to the Service. Data is retained for 30 days after suspension before permanent deletion.

5.5 Free Access Period

AM Invoice is currently provided free of charge to all users. This free access period is guaranteed until 31 December 2029. After this date, we may introduce subscription fees for some or all features of the Service.

We will provide at least 90 days' advance notice via email and a prominent notice on the Service before any charges are introduced. Users who do not wish to continue under a paid plan will have the option to export their data and close their account at no cost before any charges apply.

6. Acceptable Use

You agree to use the Service only for lawful business purposes. You must not:

• Use the Service to process, store, or transmit unlawful, fraudulent, or illegal financial data
• Attempt to gain unauthorised access to any part of the Service or other users' data
• Reverse-engineer, decompile, or attempt to extract the source code of the Service
• Use automated bots, scrapers, or scripts to access the Service without prior written consent
• Resell or sublicense access to the Service to third parties
• Upload malicious code, viruses, or harmful content
• Impersonate any person, company, or entity
• Violate any applicable Indian or international laws or regulations

7. Your Data

You retain full ownership of all financial data, invoices, and business information you upload to the Service ("Your Data"). By using the Service, you grant Sonnet Infotech a limited, non-exclusive licence to store, process, and display Your Data solely for the purpose of providing the Service to you.

We will not access, use, or share Your Data except as described in our Privacy Policy or as required by law.

You are solely responsible for the accuracy, legality, and completeness of Your Data.

8. Intellectual Property

The Service, including its software, design, trademarks, logos, and content (excluding Your Data), is the exclusive property of Sonnet Infotech and is protected under Indian intellectual property laws. You are granted a limited, non-transferable licence to use the Service for its intended purpose.

Nothing in these Terms transfers any intellectual property rights to you.

9. Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

AM Invoice is not a substitute for professional accounting, tax, or legal advice. You should consult a qualified chartered accountant or tax advisor for compliance with Indian tax laws including GST, Income Tax, and other applicable regulations.

10. Limitation of Liability

To the maximum extent permitted by Indian law, Sonnet Infotech shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunities.

Our total aggregate liability to you for any claims arising from or related to the Service shall not exceed the amount you paid us in the 3 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Sonnet Infotech, its directors, employees, and agents from any claims, losses, liabilities, damages, and expenses (including legal fees) arising from your use of the Service in violation of these Terms, or your violation of any applicable law or third-party rights.

12. Termination

Either party may terminate the agreement at any time. You may cancel your subscription and delete your account from within the Service. We may suspend or terminate your account immediately for breach of these Terms, non-payment, or if required by law.

Upon termination, your right to use the Service ceases immediately. Your Data will be retained for 30 days and then permanently deleted, subject to legal retention obligations.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India, including the Information Technology Act 2000, the Indian Contract Act 1872, and the Consumer Protection Act 2019. Any disputes shall be subject to the exclusive jurisdiction of the courts located in India.

14. Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation within 30 days of written notice. If unresolved, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with proceedings conducted in English in India.

15. Changes to Terms

We may update these Terms from time to time. We will provide at least 30 days' notice of material changes via email or a notice on the Service. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
